Terms of Service — Recall Aid
Effective Date: September 16, 2025
These Terms of Service (“Terms”) govern your access to and use of the Recall Aid web application, website, and related online services (collectively, the “Service”) provided by Memory AI, LLC (“Memory AI,” “we,” “us,” or “our”). By creating an account, clicking “I Agree,” or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility; Account
- 1.1 Eligibility. You must be at least 18 years old (or the age of majority where you live) to use the Service.
- 1.2 Account Security. You are responsible for your account credentials and all activity under your account. Notify support@recallaid.com promptly of any unauthorized access.
- 1.3 Accurate Information. You must provide and maintain accurate, current information.
2. Service Overview; Non-Medical Use
- 2.1 What Recall Aid Does. The Service helps you capture and reflect on personal memories (text, photos, voice) and may generate AI-assisted prompts, summaries, and images for reminiscence and wellness.
- 2.2 No Medical Advice; No Emergencies. The Service is not medical or mental-health care, does not diagnose or treat conditions, and is not for crisis use. In an emergency, call 911 or your local emergency number.
- 2.3 AI Transparency. AI outputs may be incomplete, inaccurate, or reflect your inputs. You are solely responsible for how you use any output and should independently verify important information.
3. Territory; Children
- 3.1 U.S. Only. The Service is offered to users located in the United States. If you access it from elsewhere, you do so at your own initiative and risk.
- 3.2 No Children’s Use. The Service is not directed to children; do not use if you are under 18.
4. Free Use, Trial, Subscriptions, Pricing, and Cancellation
- 4.1 Free Memory. Each user may create and store one (1) memory at no charge.

- 4.3 Paid Plans. Continued use beyond the free/trial allowance requires a paid subscription. - 4.4 Auto-Renewal. Subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal.
- 4.5 Click-to-Cancel (Web). You may cancel at any time via Account → Billing → Cancel (single-step) or by emailing support@recallaid.com. Cancellation stops future charges and takes effect at the end of the current term.
- 4.6 No Refunds. All payments are final and non-refundable, except where required by law. No pro-rata or partial refunds are provided if you cancel mid-term.
- 4.7 Price/Plan Changes. We may change fees or plans; we will notify you in advance and changes take effect in your next billing term. If you disagree, cancel before the change takes effect.
- 4.8 Payment Processing. We may use third-party processors. By paying, you authorize recurring charges to your payment method until you cancel.
5. Your Content; Rights and Licenses
- 5.1 Ownership. You retain ownership of the memories, photos, audio recordings, and other material you upload (“User Content”).
- 5.2 License to Operate the Service. You grant Memory AI a worldwide, non-exclusive, royalty-free license to host, process, transmit, adapt, and display User Content solely to operate, maintain, secure, and improve the features you use (e.g., transcribing audio, generating prompts/images, backups).
- 5.3 No Model Training Without Opt-In. We will not use User Content to train AI models unless you separately and explicitly opt in.
- 5.4 Responsibility for Content. You represent you have all rights to upload/use User Content and that it does not violate laws or third-party rights (privacy, publicity, IP).
- 5.5 Sensitive Data. You control what you share. Avoid uploading unnecessary sensitive identifiers (e.g., SSNs, financial account numbers). We implement safeguards, but no system is 100% secure; you upload sensitive data at your own risk. See our Privacy Policy for details.
6. Acceptable Use
You agree not to:
- (a) use the Service unlawfully or for unlawful content;
- (b) upload content that is defamatory, harassing, hateful, obscene, or otherwise objectionable;
- (c) infringe others’ IP, privacy, or publicity rights;
- (d) share others’ personal data without authority;
- (e) reverse-engineer, scrape at scale, or interfere with the Service;
- (f) introduce malware or attempt to gain unauthorized access;
- (g) misrepresent your identity or affiliation;
- (h) use outputs to generate or disseminate unlawful or harmful content.
Enforcement. We may remove content and suspend or terminate accounts for violations.
7. Research and IRB-Governed Use
From time to time, the Service may be used in Institutional Review Board (IRB)–approved research. Participation is voluntary and governed by a separate informed consent specific to that study. If there is a conflict between that consent and these Terms for the study’s activities, the consent controls for the study; these Terms otherwise continue to apply.
8. Intellectual Property; Feedback
- 8.1 Service IP. Except for User Content, the Service and all related software, designs, and content are owned by or licensed to Memory AI and are protected by law. We grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes, subject to these Terms.
- 8.2 Feedback. If you provide suggestions or ideas, you grant us a perpetual, royalty-free license to use them without obligation to you.
9. Third-Party Services
Certain features may rely on third-party services (e.g., hosting, AI infrastructure, analytics). Those services are governed by their own terms. We are not responsible for third-party services and use of them is at your discretion.
10. DMCA; Copyright Policy
If you believe content on the Service infringes your copyright, please send a notice including all elements required by 17 U.S.C. § 512(c)(3) to our agent:

11. Privacy; Security
Our collection and use of personal information is described in our Privacy Policy. We use reasonable safeguards, but no method of transmission or storage is completely secure. You acknowledge these risks.
12. Changes to the Service and Terms
We may modify or discontinue features at any time. We may update these Terms; material changes will be notified in-app or by email, and the “Effective Date” will change. Continued use after changes take effect constitutes acceptance.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MEMORY AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MEMORY AI OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain limitations; where prohibited, these limitations apply to the maximum extent permitted by law.
15. Indemnification
You will defend, indemnify, and hold harmless Memory AI and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your infringement of any rights of another.
16. Governing Law; Venue
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules. Except as provided in Section 17 (Arbitration), the exclusive venue for disputes shall be the state and federal courts located in Maryland, and you consent to their personal jurisdiction.
17. Binding Arbitration; Class-Action Waiver (Consumer)
PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS.
- 17.1 Arbitration. Except for small-claims court or injunctive relief for IP or security, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS or AAA under its applicable consumer rules.
- 17.2 Class-Action Waiver. Disputes must be brought individually and not as a class, representative, or consolidated action.
- 17.3 Opt-Out. You may opt out of arbitration within 30 days of the date you first accepted these Terms by emailing support@recallaid.com with subject line “Arbitration Opt-Out”, and your full name and the email associated with your account. If you opt out, or if arbitration is found unenforceable, exclusive venue is in the courts identified in Section 16.
18. Suspension; Termination
We may suspend or terminate your access for violations of these Terms, legal requirements, or risks to users or the Service. You may stop using the Service at any time and may request account deletion. Fees already paid are non-refundable (see Section 4.6). Sections intended to survive (including 5, 6, 8, 10–17, 19–20) shall survive termination.
19. Miscellaneous
- 19.1 Entire Agreement. These Terms and the Privacy Policy are the entire agreement.
- 19.2 Assignment. You may not assign these Terms; we may assign them.
- 19.3 Severability; Waiver. If any provision is unenforceable, it will be limited to the minimum extent necessary; no waiver is implied by failure to enforce.
- 19.4 Force Majeure. We are not liable for delays/failures due to causes beyond our reasonable control.
- 19.5 Electronic Communications. You consent to receive notices electronically.
